Rosalind Avenue, 5th Floor Orlando, Florida   32801 Re: Request  for  Approval  -   Orange   County   Health   Facilities   Authority   Hospital Revenue  Bonds  for  Adventist  Long-Term  Care  Obligated  Group  in  the  amount  of $25,000.000  (Consent Agenda). Dear Mayor Crotty: The  Orange  County  Health  Facilities  Authority  (the  "Authority") respectfully requests that the Board of County Commissioners  approve  solely for TEFRA purposes the following item on the Consent Agenda: Approval  of  Resolution  by  the  Board  of  County  Commissioners   approving  solely  for  the purpose of Section  141(f) of the Internal Revenue Code of 1986,  as amended, the issuance by the  Orange  County  Health  Facilities  Authority  of  Revenue  Bonds  Series  2007  (Adventist Long-Term   Care  Obligated   Group)  (the  "Bonds"),  in  an  aggregate   principal  amount  not exceeding   $25,000,000    and  the   loan   of   the  proceeds   thereof   to   Apopka   Health   Care Properties,  Inc.,  a  Georgia  not-for-profit   corporation  ("Apopka"),  Chickasaw  Health  Care Properties,  Inc., a Georgia  not-for-profit  corporation ("Chickasaw"), and South Pasco Health Care Properties,  Inc., a Georgia  not-for-profit  corporation  ("South Pasco" and, together  with Apopka  and  Chickasaw,  the  "Borrowers"),  to  be  used  for  one  or  more  of  the  following purposes  (a) refinancing  certain  outstanding  debt  of  the  Borrowers   incurred  in  connection with  the  acquisition,  construction,  renovation  and equipping  of  their  respective  health  care facilities  and  (b)  paying  certain  costs  of  issuance  of  the  Bonds,  including  the  costs  of  any credit or liquidity enhancement thereof.
